Terms & Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern the sale, export, and delivery of ferro-alloy products by QVC Group to its clients and business partners. By placing an order with QVC Group, the client confirms that they have read, understood, and agreed to be bound by these Terms in their entirety.
2. Product Information
All product specifications, grades, and quality details are provided in accordance with industry standards. QVC Group endeavours to maintain accuracy of information; however, the company reserves the right to update product descriptions, specifications, and related information without prior notice to ensure compliance with industry best practices.
3. Orders & Confirmation
All orders must be submitted in writing, via email, or through approved communication channels. Orders are only considered confirmed once QVC Group provides written acceptance or issues an official invoice. Any special requests or custom requirements must be clearly communicated at the time of order placement.
4. Pricing & Payment
Prices are quoted in USD or INR unless otherwise agreed in writing. Payment terms shall be specified in the invoice or contract. QVC reserves the right to withhold delivery in case of delayed or non-payment.
5. Delivery & Shipping
Delivery timelines are indicative. Shipments are governed by Incoterms® 2020 (or latest version) as specified in the invoice. Risk transfers to the buyer upon dispatch unless otherwise agreed.
6. Title & Ownership
Title and ownership of the goods shall remain with QVC Group until full payment for the goods has been received. Risk associated with the goods, including damage or loss during transit, transfers to the buyer upon dispatch.
7. Warranty & Liability
QVC Group warrants that the products supplied conform to the agreed specifications at the time of dispatch. Any claim for defective goods is limited to either replacement of the goods or refund of the product cost. QVC Group shall not be liable for any indirect, incidental, or consequential losses, including but not limited to loss of profit, business, or reputation.
8. Export Compliance
The buyer undertakes to comply with all applicable export and import regulations in their country. QVC Group reserves the right to refuse or withhold shipment in the event that the buyer fails to comply with such regulatory requirements.
9. Force Majeure
QVC shall not be liable for delays or failure due to events beyond reasonable control including natural disasters, strikes, pandemics, or logistical disruptions.
10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Kolkata, India.
11. Miscellaneous
All client and business information is treated as strictly confidential, except where disclosure is required by law. Intellectual property, including trademarks, technical data, and product specifications, remains the exclusive property of QVC Group. Any request for cancellation or modification of orders must be submitted in writing and is subject to approval by QVC Group.
